Terms & Conditions
Effective: April 2026
These Terms and Conditions ("Terms") govern all services provided by Growuild (UEN: 53520677A), a web design business registered in Singapore ("Growuild", "we", "us", "our"). By engaging Growuild for any service, requesting a quotation, or proceeding with a project, you ("the Client", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you do not agree with any provision of these Terms, you must not engage our services. These Terms apply to all projects, proposals, quotations, and any work performed by Growuild on behalf of the Client.
Definitions
For the purposes of these Terms, the following definitions shall apply:
- "Client" refers to any individual, company, or entity that engages Growuild for services, whether through a signed agreement, accepted quotation, or commencement of a project.
- "Growuild" refers to the web design business operating under UEN 53520677A in Singapore.
- "Project" refers to the complete body of work as defined in an agreed Scope Document, including all deliverables, milestones, and revision rounds.
- "Deliverables" refers to all final outputs produced by Growuild for the Client, including but not limited to website files, design assets, code, and documentation as specified in the Scope Document.
- "Revision" refers to a single round of changes or modifications to the Deliverables, subject to the Revision Policy outlined in Section 6 of these Terms.
- "Scope Document" refers to the written agreement between Growuild and the Client that defines the project requirements, features, deliverables, timeline, pricing, and number of included revision rounds.
- "Sign-Off" refers to the Client's formal written approval of a deliverable, milestone, or revision round, confirming acceptance and satisfaction with the work as delivered.
- "Revision Request Document" refers to the formal, signed document that the Client must complete for each revision round, detailing every specific change requested.
- "Change Order" refers to a formal written request to modify, add, or remove items from the locked Scope Document, which may incur additional fees.
Scope of Services
Growuild provides professional web design, web development, and digital integration services. All work undertaken by Growuild is strictly defined by the agreed Scope Document. Services may include, but are not limited to:
- Custom website design and development
- Landing page creation
- Website add-on integrations (e.g., contact forms, live chat, analytics, booking systems)
- Website redesign and modernisation
- Basic SEO setup and optimisation
Any service, feature, or deliverable not explicitly listed in the Scope Document is excluded from the Project. Requests for work outside the agreed scope are subject to the Change Order process described in Section 7.
Quotation & Pricing
- All prices quoted by Growuild are denominated in Singapore Dollars (SGD) unless explicitly stated otherwise.
- Quotations are valid for a period of fourteen (14) calendar days from the date of issue. After this period, Growuild reserves the right to revise the quoted price without prior notice.
- All pricing is project-based and constitutes a one-time fee unless a recurring arrangement (e.g., maintenance retainer) is explicitly stated in the Scope Document.
- Growuild reserves the right to adjust pricing for any additional requests, features, or modifications that fall outside the original Scope Document. Such adjustments will be communicated to the Client via a Change Order before work commences.
- Quoted prices do not include third-party service fees, domain registration, hosting costs, premium plugins, or stock imagery unless explicitly included in the quotation.
Payment Terms
- Add-On Services: Full payment is required upfront before any work on add-on services commences. Growuild will not begin work on add-on requests until payment has been received and confirmed.
- Full Website Builds: A non-refundable deposit of fifty percent (50%) of the total project fee is required before work begins. The remaining fifty percent (50%) is due upon project completion and must be paid in full before any final files, access credentials, or deliverables are handed over to the Client.
- Late Payment: Overdue invoices shall accrue interest at a rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance, calculated from the original due date until payment is received in full.
- No Refunds: Once work has commenced on any project or service, all fees paid are strictly non-refundable. The deposit secures Growuild's time and resources dedicated to the project.
- Suspension of Work: Growuild reserves the right to immediately halt, suspend, or delay all work on the project if any payment is overdue. Work will resume only upon receipt of all outstanding payments. Growuild shall not be liable for any delays arising from payment-related suspensions.
- Payment Methods: Accepted payment methods will be communicated at the time of invoicing. All transaction fees imposed by payment processors are the responsibility of the Client.
Revision Policy & Sign-Off Procedure
This section constitutes a core provision of these Terms. It is designed to ensure clarity, accountability, and fairness for both parties throughout the revision process.
- Included Revision Rounds: Each project includes a specified number of revision rounds as stated in the Scope Document or selected package. Additional revision rounds beyond the included allocation will be charged at Growuild's prevailing rate.
- Mandatory Revision Request Document: For each revision round, the Client is required to complete and sign a Revision Request Document provided by Growuild. This document must detail every specific change, modification, and adjustment the Client wishes to make. No revision work will commence until the signed Revision Request Document has been received by Growuild.
- Binding Nature of the Revision Request Document: Once the Client signs and submits the Revision Request Document, it becomes a binding record of the Client's requested changes. The Client acknowledges that the signed document serves as definitive proof of what was requested. The Client cannot subsequently claim that Growuild misunderstood, misrepresented, or failed to deliver the requested changes if those changes were executed in accordance with the signed document.
- Execution Limited to Documented Requests: Growuild will execute only the changes explicitly documented in the signed Revision Request Document. Any changes, additions, or modifications not included in the signed document are not part of that revision round.
- Additional Changes: Any changes requested after the Revision Request Document has been signed, or changes that were not included in the signed document, shall constitute a new revision round and may incur additional fees.
- Verbal and Informal Requests: Revision requests made verbally, via WhatsApp, phone call, text message, email, or any other informal channel that are not documented in a signed Revision Request Document are expressly non-binding. Growuild is under no obligation to implement, track, or be held accountable for any changes communicated outside the formal Revision Request Document process.
- Client Responsibility: The Client bears full responsibility for clearly articulating all desired changes in the Revision Request Document. Growuild shall not be held responsible for any dissatisfaction, misunderstanding, or dispute arising from changes that were explicitly requested, documented, and signed off by the Client.
- Sign-Off on Completed Revisions: Upon completion of each revision round, the Client will be asked to review and sign off on the delivered changes. Sign-off confirms the Client's acceptance of the revision as delivered.
Scope Lock & Change Orders
- Scope Lock: Once the Scope Document has been mutually agreed upon and signed by both parties, the project scope is considered locked. The locked scope defines the complete boundaries of the project, including all features, pages, functionality, and deliverables.
- Change Orders Required: Any changes, additions, removals, or modifications to the locked scope require a formal written Change Order. The Client must submit the Change Order request to Growuild in writing, and Growuild will assess feasibility, timeline impact, and additional cost.
- Additional Fees: Change Orders may incur additional fees based on the complexity and scope of the requested changes. Growuild will provide a cost estimate for the Change Order before work begins, and the Client must approve the additional fee in writing.
- Right to Decline: Growuild is not obligated to accommodate Change Orders that fundamentally alter the nature, scale, or direction of the project. Growuild reserves the right to decline Change Orders at its sole discretion.
- Timeline Adjustments: Approved Change Orders may extend the original project timeline. Growuild is not liable for delays resulting from Client-initiated scope changes.
Project Timeline & Delivery
- Estimated Timelines: All project timelines provided by Growuild are good-faith estimates and are not binding guarantees. Actual delivery dates depend on the complexity of the project, the Client's responsiveness, and external factors.
- Client-Caused Delays: Delays caused by the Client, including but not limited to late provision of content, slow feedback on deliverables, repeated revision requests, or failure to sign off on milestones, shall extend the project timeline proportionally. Growuild shall not be liable for any resulting delays.
- Third-Party Delays: Growuild is not liable for delays caused by third-party services, platforms, hosting providers, or any external factor beyond Growuild's reasonable control.
- Client Unresponsiveness: If the Client fails to respond to communications or provide required materials for a period of fourteen (14) consecutive days or more, Growuild reserves the right to consider the project dormant and close the active project file. Resumption of a dormant project may require a reactivation fee and revised timeline, to be determined by Growuild at its discretion.
- Delivery: Final deliverables will be provided to the Client only upon receipt of all outstanding payments in full, in accordance with the Payment Terms outlined in Section 5.
Content & Assets
- The Client is solely responsible for providing all content, images, logos, branding assets, and written copy required for the project in a timely manner.
- The Client warrants and represents that they hold all necessary legal rights, licences, and permissions for any materials provided to Growuild for use in the project. This includes, but is not limited to, images, photographs, text, logos, trademarks, and any other intellectual property.
- Growuild shall not be held liable for any claims of copyright infringement, trademark violation, or intellectual property disputes arising from the use of Client-provided materials.
- If Growuild assists with copywriting, sourcing imagery, or content creation as part of the project, the Client must review and formally approve all such content before it is published or made live. Growuild is not responsible for errors, inaccuracies, or legal issues in published content that the Client has approved.
- Failure by the Client to provide required content within agreed timeframes may result in project delays, for which Growuild shall not be held responsible.
Intellectual Property
- Client Ownership: Upon receipt of final payment in full, the Client shall own the rights to the specific custom design, layout, and content of their completed website as delivered by Growuild.
- Growuild Retention: Growuild expressly retains full ownership of all pre-existing code, proprietary templates, frameworks, libraries, development tools, reusable components, and any methodologies or processes used in the creation of the project. These assets remain the exclusive intellectual property of Growuild regardless of their incorporation into the Client's project.
- Portfolio Rights: Growuild may display, reference, and showcase the completed project in its portfolio, website, social media, and marketing materials unless the Client requests otherwise in writing prior to project completion.
- Source Files: Deliverables are provided in their final, production-ready format. Growuild is not obligated to provide editable source files, design files (e.g., Figma, PSD, Sketch), or raw project files unless such files are explicitly included in the Scope Document.
- No Resale: The Client may not resell, redistribute, sublicense, or commercially exploit Growuild's proprietary code, templates, or frameworks as standalone products.
Website Hosting & Maintenance
- Growuild does not provide ongoing website hosting services unless a separate hosting arrangement has been explicitly agreed upon in writing.
- Post-Delivery Support: Following final delivery and sign-off, Growuild provides a complimentary support window of seven (7) calendar days for the resolution of bugs and technical issues directly attributable to Growuild's work. This support window covers defects only and does not include new features, content changes, design alterations, or enhancements.
- After the 7-day post-delivery support window, any maintenance, updates, content changes, troubleshooting, or modifications requested by the Client are considered new billable work and will be quoted accordingly.
- The Client is responsible for the ongoing maintenance, security, and backup of their website after delivery unless a maintenance agreement is separately in place.
Third-Party Services
- Websites developed by Growuild may integrate or rely on third-party services, platforms, APIs, and tools, including but not limited to WhatsApp Business, Google Analytics, Google Fonts, Tawk.to, Stripe, and other external services.
- Growuild is not responsible for changes, outages, discontinuations, policy updates, security breaches, or any disruptions to third-party services that may affect the functionality or appearance of the Client's website.
- Any fees, subscriptions, or charges associated with third-party services are the sole responsibility of the Client unless explicitly stated otherwise in the Scope Document.
- Growuild does not guarantee the continued availability, compatibility, or performance of any third-party service integrated into the Client's project.
Data Protection (PDPA Compliance)
- Growuild handles all personal data in accordance with Singapore's Personal Data Protection Act 2012 (PDPA) and any subsequent amendments.
- Personal data collected from the Client during the course of a project (including but not limited to names, contact details, business information, and project-related correspondence) is used solely for the purposes of project delivery, communication, and invoicing.
- Growuild does not sell, rent, trade, or share Client personal data with any third parties, except where required by law or with the Client's express written consent.
- The Client is responsible for ensuring that any personal data provided to Growuild for use in the project (e.g., customer testimonials, contact information for display on the website) has been collected with proper consent in accordance with the PDPA.
- Growuild implements reasonable security measures to protect Client data but cannot guarantee absolute security against all potential threats.
Limitation of Liability
- Growuild's total aggregate liability to the Client, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with any project, shall not exceed the total fees actually paid by the Client to Growuild for that specific project.
- Growuild shall not be liable for any indirect, consequential, incidental, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, or business interruption, howsoever arising.
- Growuild is not liable for any damages, losses, or issues arising from the Client's use, modification, or deployment of delivered websites or deliverables after handover.
- Growuild is not liable for any losses resulting from the Client's failure to maintain, update, back up, or secure their website after delivery.
- The limitations set out in this section apply to the fullest extent permitted by the laws of the Republic of Singapore.
Indemnification
The Client agrees to indemnify, defend, and hold harmless Growuild, its owner, employees, contractors, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- The Client's breach of any provision of these Terms
- Content, materials, or data provided by the Client that infringes upon any third party's intellectual property rights, privacy rights, or other legal rights
- The Client's use, modification, or deployment of the deliverables in a manner not authorised or contemplated by the Scope Document
- Any claims by third parties arising from the Client's website or business operations
- The Client's failure to comply with applicable laws, regulations, or industry standards
This indemnification obligation shall survive the termination or completion of the project and these Terms.
Termination
- Termination by Either Party: Either party may terminate the project engagement by providing seven (7) days' written notice to the other party.
- Termination by the Client: If the Client terminates the project, all fees paid to date are strictly non-refundable. Additionally, any outstanding balance for work already completed up to the date of termination becomes immediately due and payable. Growuild is not obligated to deliver incomplete work upon Client-initiated termination unless all outstanding fees have been paid.
- Termination by Growuild: If Growuild terminates the project, completed work up to the date of termination will be delivered to the Client upon payment of all outstanding fees for work performed.
- Immediate Termination: Growuild reserves the right to terminate the engagement immediately, without the 7-day notice period, if the Client engages in behaviour that is abusive, threatening, harassing, defamatory, or otherwise inappropriate towards Growuild or its personnel, or if the Client is consistently unresponsive despite reasonable attempts at communication.
- Effect of Termination: Upon termination, all licences granted to the Client under these Terms are revoked until all outstanding payments are settled. Provisions of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Indemnification, Limitation of Liability, and Dispute Resolution) shall remain in full force and effect.
Dispute Resolution
- Good-Faith Negotiation: In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any project, the parties shall first attempt to resolve the matter through good-faith negotiation within thirty (30) days of written notice of the dispute.
- Governing Law: These Terms and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of the Republic of Singapore.
- Jurisdiction: The parties irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Singapore for the resolution of any disputes that cannot be resolved through negotiation.
Amendments
- Growuild reserves the right to update, modify, or amend these Terms at any time and at its sole discretion.
- Clients will be notified of material changes to these Terms through reasonable means, which may include email notification, website notice, or direct communication.
- Continued engagement of Growuild's services following any amendments to these Terms shall constitute the Client's acceptance of the revised Terms.
- It is the Client's responsibility to review these Terms periodically. The most current version of the Terms will always be available on the Growuild website.
